Terms of Service

These Terms of Service ("Terms") govern your use of the Spoolnote mobile application ("Spoolnote", "the App"), provided by Dizitart, a sole proprietorship registered in Kolkata, West Bengal, India ("Dizitart", "we", "us", "our"). When you first open Spoolnote you are asked to confirm that you have read and agree to these Terms and our Privacy Policy before you can continue, and by downloading, installing, or continuing to use the App you agree to these Terms. If you do not agree, do not use the App.

1. What Spoolnote Is

Spoolnote is a private, offline voice journaling app. It records audio, transcribes it to text on your device (no cloud transcription), lets you search and tag your entries, generates AI-written summaries on your device, and — also entirely on your device — lets you ask an AI chat assistant questions about a single entry or across all of them. Because the App no longer bundles a transcription model, the one setup step is a one-time download: on first launch you're taken to a model-selection screen and must download at least one transcription model before you can record. Once a model is installed, recording, transcription, summaries, and chat all run offline. Spoolnote has no user accounts, and your recordings, transcripts, and app data stay on your device and are never sent to us. The one exception is that if you choose to report a bug from Settings, that report is sent to a server we operate — you review exactly what it contains, and can edit or delete any of it, before it goes. Spoolnote is a personal productivity and journaling tool. It is not a medical, mental-health, legal, or emergency service, and nothing in the App should be treated as professional advice of any kind.

2. Eligibility

You must be at least 13 years old (or the minimum age required by your app store to hold an account capable of making purchases) to use Spoolnote. If you are using the App on behalf of a minor in your care, you are responsible for their use of it.

3. License to Use the App

Subject to these Terms, Dizitart grants you a limited, non-exclusive, non-transferable, revocable license to install and use Spoolnote on devices you own or control, for your personal, non-commercial use. You may not: reverse-engineer, decompile, or attempt to extract the source code of the App except as permitted by applicable law; redistribute, resell, or sublicense the App; or use the App in any way that violates applicable law.

4. Your Content

Everything you record, transcribe, tag, or otherwise create in Spoolnote ("Your Content") belongs to you. Dizitart claims no ownership over Your Content and — because it is stored only on your device and never transmitted to us — has no access to it, no ability to back it up for you, and no ability to recover it if you lose your device, uninstall the App, or delete an entry. You are solely responsible for backing up Your Content (e.g., via your device's own backup mechanisms, subject to the exclusions described in the Privacy Policy) if that matters to you.

This stays true whether or not you ever send us a bug report: the App does not put your recordings, transcripts, or entries into a report. If you choose to type or paste some of Your Content into a report yourself, we receive only what you put there, and you can review and remove it before sending.

You are solely responsible for Your Content and for ensuring you have the right to record any conversation or audio you capture with the App, including complying with any consent-to-record laws that apply in your location.

5. Free Tier and Paid Plans ("Spoolnote Premium")

  • The free tier is not limited by how much you keep. Recording, on-device transcription, search, tags, and playback are available at no charge, with no cap on the number of entries you may store. There is no time limit on the free tier.
  • Spoolnote Premium unlocks the on-device AI features: Smart Summary (AI-written summaries of an entry) and the AI chat assistant (asking questions about a single entry, or across your whole journal). These features require a one-time download of an additional on-device AI model, which the App offers at the point of use. Premium is the only way to use those features; everything else stays free.
  • Free trial. The App offers a 14-day free trial of every Premium feature. It requires no payment method, no subscription and no account, there is nothing to cancel, and it does not convert into a paid plan — when it ends, the App simply returns to the free tier and your recordings, transcripts and tags remain fully available. The trial is recorded on your device only, and is available once per installation.
  • Premium is available on the following plans. Which plans are offered, and the price of each, are shown in the App before purchase:
  • Monthly — an auto-renewing monthly subscription.
  • Yearly — an auto-renewing annual subscription.
  • Lifetime — a single one-time purchase, not a subscription. It does not auto-renew, there is nothing to cancel, and no further payment is ever taken for it. See "What Lifetime means" below for what it includes.
  • All billing, renewal, and cancellation is handled directly by Apple or Google — Dizitart has no access to your payment details and does not process payments itself. To cancel or manage a subscription, use your Apple ID subscription settings or Google Play subscription settings, not the App.
  • Unless cancelled before the renewal date, a subscription plan automatically renews at the then-current price for that plan, and your payment method on file with Apple/Google will be charged. This does not apply to Lifetime, which never renews.
  • What "Lifetime" means. It is a perpetual licence to the Premium features of the Spoolnote app on the app-store account you purchased it with — it is not a promise about your own lifetime, and it is not transferable. It has no expiry date and we will not convert it into a subscription or start charging you for it later. What it includes: every Premium feature available at the time of your purchase, permanently, plus all new Premium features and on-device model upgrades we release in the three years following your purchase. Premium features first released more than three years after your purchase may require a further purchase; if we ever charge for one, we will say so in the App before you buy it, and nothing you already have will stop working, be removed, or be downgraded as a result. We will not retroactively move an existing feature behind such a charge. Because Spoolnote runs entirely on your device with no server behind it, an installed copy keeps working with your Lifetime purchase even if we stop publishing updates. What a Lifetime purchase does not guarantee is that Spoolnote will be updated indefinitely, that it will remain available on the app stores, or that it will keep working after a future operating-system change; if we discontinue the App, §12 (Termination) applies, and any statutory rights you have as a consumer are unaffected.
  • Restoring a purchase. Because Spoolnote has no user accounts, your entitlement is tied to your Apple or Google account, not to us. Use Restore Purchases on the paywall screen after reinstalling or changing device. Spoolnote also re-checks an active subscription with the store periodically; if it cannot reach the store, an active subscription keeps working for a grace period before Premium features lock again.

6. Refunds

Apple and Google each have their own refund policies and processes, and most refund requests should go through them directly (App Store: Report a Problem; Play Store: Play Store order history). Beyond that, if you have a dispute with us that we're unable to resolve, Dizitart's policy is to refund the amount you paid for the current financial year of your subscription, calculated as follows:

  • Yearly billing: the full amount paid for that year's subscription.
  • Monthly billing: the number of months already paid for in the current financial year, multiplied by the monthly amount.
  • Lifetime (one-time purchase): the full amount paid, if you request it within the app store's own refund window; after that, refunds are at Dizitart's discretion as described above.

Refunds are processed through the app store you subscribed via. To request one, contact us at support@dizitart.com with your order/purchase information. Refunds are at Dizitart's discretion and don't affect any statutory refund or cancellation rights you may separately have as a consumer.

7. Disclaimer of Warranties

Spoolnote is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. Dizitart does not warrant that: the App will be uninterrupted, error-free, or secure; transcription, AI-generated summaries, or AI chat responses will be accurate, complete, or fit for any particular purpose; or the App will meet your requirements. On-device transcription, summarization, and chat are automated and can misinterpret, omit, or misstate content — always review generated text yourself before relying on it.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Dizitart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of (or inability to use) Spoolnote, even if advised of the possibility of such damages. Dizitart's total aggregate liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid Dizitart (via the applicable app store) in the twelve (12) months preceding the claim, or ₹500 if you have not made any payment.

Nothing in this section limits liability where such limitation is not permitted by applicable law (including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence), or overrides any statutory rights you have as a consumer under the Consumer Protection Act, 2019 or other applicable Indian law.

9. Indemnification

You agree to indemnify and hold Dizitart harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: your use of the App in violation of these Terms; Your Content; or your violation of any law or third-party right.

10. Third-Party Services

Spoolnote downloads open-weight AI models (for transcription, and optionally for summarization and chat) from Hugging Face's infrastructure — at least one transcription model on first launch, since none ships bundled, plus any further models you choose to add in Settings — and processes in-app purchases through Apple's App Store or Google Play Store. Your use of those services is governed by their respective terms and privacy policies, not this document. Dizitart is not responsible for the availability or content of third-party infrastructure Spoolnote relies on for model downloads.

Bug reports you choose to send are handled for us by Cloudflare (which hosts the endpoint that receives them) and GitHub (which stores them as issues in our private tracker). See the Privacy Policy for what those reports contain and how they're used.

11. Intellectual Property

The Spoolnote name, logo, and app design are the property of Dizitart. These Terms do not grant you any rights to Dizitart's trademarks or branding beyond what's needed to use the App as intended.

12. Termination

You may stop using Spoolnote at any time by uninstalling it. Dizitart may suspend or terminate your license to use the App if you violate these Terms, though because Spoolnote has no user accounts, there is no account for us to close. In practice this means the App may cease to function correctly if, e.g., a future version requires it, or your access to app-store distribution is revoked by Apple/Google. We may also decline to accept bug reports from you if the reporting feature is abused.

13. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above; material changes will be reflected in the App's release notes or an in-app notice where practical. Continued use of Spoolnote after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts at Kolkata, West Bengal shall have exclusive jurisdiction over any dispute arising from these Terms or your use of the App, to the exclusion of all other courts or forums. Before initiating formal proceedings, please contact us at support@dizitart.com — most issues can be resolved directly.
